In the 10-Q filing released last Dec, $PSTH reported a loss from operations of $680,879 from May-Sep
In the 10-K filing released TODAY they reported a loss from operations of $2,831,597 from May-Dec
By subtracting the two we see a loss from operations of $2,150,718 from Oct-Dec

That means
$PSTH incurred ~3.5x more operating costs in Q4 than they did in Q3 + May. (Left image is 10-Q filing, right is 10-K filing)pic.twitter.com/4HNG4cPqkK

Further,
$PSTH's loss from operations of $2,831,597 was broken down in the 10-K filing: • Legal fees ($1,658,107) • Insurance expense ($743,291) • Research expense ($192,582) • Franchise tax expense ($132,290) • Other expenses ($106,755)6 replies 0 retweets 28 likesShow this thread -
It is unclear how much of each expense was incurred prior to Q4, however this ramp up in operating costs surely points to
$PSTH being deep in negotiations with at least one target. TLDR: $1.66 million worth of legal fees is a lot more than just a couple SEC filings...7 replies 1 retweet 43 likesShow this thread -

Like where your head is at, but consider this: $1.6mm in legal fees isn't as much as you think when you consider that: 1. Bill is likely using Goodwin or some other $2k/hr lawyers 2. Fund formation documentation take a while and are long

CCIV only spent about 2-3m on their merger

Klein had a target from day 1 though, it was never not Lucid. Does that include legal formation expenses? Serious question, wasn't as close to CCIV

It's possible, but IPOE spent 600kish, and many other spacs spent sub 1m. I think
$PSTH might spent 5-10m in Legal fees before an announcement. I imagine lots of spend occurred in q1.1 reply 0 retweets 4 likes -

Agreed - that's sorta my point. I don't see 1.6mm as a massive "lots of deals/LOIs signed" feels mostly like startup expense number

It's a big number for one quarter. Especially on top of 2/3 of Bill ackmans resources doing DD. It adds up to about 25k a day if my math serves me right. 25k a day in third party fees. Could easily be 4-6 lawyers spending their entire time on a deal.
