The main terms that stalled was limitation of liability and audit. Auditing allows us to ensure they aren't stealing/misusing the software without suing them (impractical when it's a small corp like us vs large corp), limiting liability means we can't be sued into oblivion.
I can totally see how auditing would be a big stumbling block, but what causes limiting liability to be one? They must know that even if they sued you into oblivion there would be little for them to gain from your small company.
Theoretically, but I don't trust all big company legal departments to use this logic
Oh I get why it's a stumbling block on your side of the equation. That's a big risk! Wondering why the lawyers on the other side don't easily give in on this point since they gain so little by fighting for it.
Oh my gosh I know, especially when it holds up the whole deal! Maybe it's a general policy that seemed to make sense at the time it was made (maybe dealing mostly with larger corps), and no one feels like sticking their neck out to change it now
An option for you: consider getting general liability / E&O insurance, which should be extremely inexpensive given your line of business, then "trade" customers "OK how about we cap liability at $5 million and warrant that we have an insurance policy that would cover that?"
You can even sell that as a better option for customers than uncapped liability, since insurance companies will quickly settle and pay for covered claims. My phrasing was "I don't expect to screw up so badly you'd sue me, but if I do, Warren Buffet says he is good for it."
