It would be similar to buying a soda company because you want to reuse its carbonated sugar water manufacturing plants. Strongly implies that the original business was worthless.

What makes a SasS company valuable isn't really its software (which could be cloned), it's its contracts, its reputation, its customer funnel... buying a SasS company "for the software" then winding down its business is a pretty bad sign

I agree for established brands like Coca Cola, but many SaaS companies are still start-ups, in early-stages with high growth. I don't think the same is true for them.
