      Interesting split in the closely watched facial recognition technology resolutions. Proposed ban on sale of facial recognition tech to governments got just 2%. A separate proposal that would have recommended a study of the risks of that same tech got 28%.

      The Amazon employees who'd pushed for the company to disclose climate change plans and fossil fuel reduction came away with 31%, higher than prior shareholder proposals on sustainability or climate.

      ht to @KYWeise for the 'votes, ex-Jeff Bezos' thought * 1st tallies in my table exclude abstentions. Amazon, officially, counts those as "no" votes. (And a proposal to change that got crushed) In most cases, abstentions cut 'yes' share by less than 1 pct. point.

      I chose to use "outstanding and entitled to vote" share count as the denominator, because presumably that is the full universe of ownership that could have voted -- though with some effort required in the case of the 85m broker non-votes.

      I understand the logic, but I don't think that's the threshold to actually pass under the shareholder bylaws, but by all means correct me if I'm wrong.

      Indeed. The thing is, if the owners of those shares instructed their brokers to vote, they would become "for" "against" or "abstain" votes and cease to be broker nonvotes in the final tally. I chose that number because it's right there in the proxy: "entitled to vote".

      Hmm, there’re a lot of ways to slice data, but if the company itself isn’t allowed by law to include broker non-votes in their totals, I’d argue that makes for a pretty strong case not to include it in calculations.
