Not exactly clear how you're applying fiduciary responsibility in this case, can you expand? They're not being sued or anything. In general I think it's inappropriately used as an excuse for short term unvirtuous behavior, implying a conflict of interests that doesn't exist.

This implies we can't judge publicly traded companies for any kind of protectionist lobbying or ass covering ever. Setting aside what is legally required, I don't think this is a reasonable obligation to incur to be publicly traded, nor a virtuous way for execs to behave.

mildly inefficient altruistic behavior by firms gets a gold star, inefficiently-malign behavior gets a black mark, everything else is simply bad market design
