Or Under 15 U.S.C. s78 c(a)(10)(2000) any certificate of interest or participation in the above is a security. But, who cares about the SEC huh... I do, but that is just me.

Well, it's a good thing we don't sell it then. I'm no lawyer, but I understand that in order to fall under this law, the unit must meet the defined terms in 15 U.S. Code § 77ccc - Definitions... which it doesn't.
