        They should've had the internal investigation done by March. Seems like a pretty cut and dried breach of fiduciary duty by the entire board of directors. Amazing.

        btw, the upshot of that breach is the directors ostensibly have personal liability for their failure to act. If I'm Ms. Redstone, I'd tell those board members who failed to act that they will personally pay Moonves departing exit payments. Then, let them negotiate it with him.

        There are all kinds of potential liability a plaintiffs attorney could seek from the company and board. For starters: damages suffered by any plaintiff / victim for ongoing harassment or hostile work environment during 2018 after the board learned of Moonves' culpable acts.

        Agree, the BOD is accountable. If there was a lack of response once acts were known, there could be fiduciary and/or tortious sorts of liability. I was assuming the bad acts occurred before the knowledge and simply the investigation and dismissal of Moonves concluded slowly.

        And this just gets at liability based on what (and when) Ms. Redstone told the board--who knows what they learned earlier or from whom. In a widely held public company, I'd say the whole board should be removed, but this is a closely held company and so personal politics reigns.

        Not to pat myself on the back, but I still like the idea of financially pitting the directors responsible for keeping on Moonves against Moonves--let them take responsibility for their mistake jointly and fight out the financial consequences among themselves..
