The first law of thermodynamics doesn't actually specify that matter can neither be created nor destroyed, but instead that the total amount of energy in a closed system cannot be created nor destroyed (though it can be changed from one form to another).

Matter is a form of energy. When matter has so much energy (mass) it implodes and form dark matter.

Dark matter (energy) is an extremely strong gravitational field concentred in a tiny space and it swallow all the matter near.

So matter and energy are the same. Concentred matter form energy and dissipated energy forms matter.
