A few years back I owned a small firm which I was about to liquidate and pocket the proceeds from. A friend offered to buy it. Being a friend, I suggested a price of $1. BUT ... I wrote a contract that if she liquidated it within a certain period of time, I'd get HALF proceedshttps://twitter.com/robinhanson/status/1179040468048347136 …

Literal contract terms are often not enforced w/ argument that people don't have time/energy to read contracts. This could be fixed via quizzes showing signer understood random sample of contract terms. But w/ legalize they could only show understand ordinary, not legal, meaning.

2/ All in all, pretty fair! Maybe $15,000 of equipment and inventory, plus a checking account with $5,000 in it, and I wanted (a) $1 down (b) half liquidation price if she sold it within one year, 45% of within 2 years, 40% if within 3 years, etc. Wrote the contract. >>>

3/ Walked her through it. Specifically pointed out this liquidation paragraph. Asked her to initial next to that paragraph. Asked her to sign at the bottom.

4/ 15 months later she shut down the firm. I asked for (insisted on) my 45%. She exploded. I mean, exploded with name-calling, trash talking, etc. Destroyed a 20 yr friendship over it. Point: just because people understand contracts...doesn't mean they understand contracts.

6/ written laws and written contracts are really not at all normal for human beings. Analytical / sperg / nerd types love them. Define your terms! Assign values to variables! Document edge cases! but the other 95% of people want everything to be up for negotiation >>>

7/ The MANNER in which people attack the written laws is always always always the same * talking about loyalty, friendship, past good deeds (claims to social status) * talking about needs, weaknesses ("I've got anxiety disorder! I need this money for a vacation!") * alliances

8/ Typical reddit legal post: Uncle died and left his house to his son, but I'm the one who lived in the house for the past 10 years, and I've been helping my uncle every week, food shopping for him. Also, I'm depressed and this is stressing me out!!!

9/ I've actually cleaned that up a bit to make it more comprehensible to sane people. The actual post would say "This is my house, it's just in my cousin's name because..." The first 10 times you see "it's my car but it's in her name" you laugh. But around time #11 >>>

10/ The smart thing to do is to stop laughing and to start analyzing. People apply the "homestead principle" ALL THE FREAKING TIME. "Finder's keepers" "Yeah but I lived here for 2 years" "But I drive it every day" "I touched it last" More and more I've been thinking that >>>

11/ One of the DEEP QUESTIONS of governance / society building / etc is to make a glue layer that can bind to evolved human norms ("I've been carrying this bow for the last two weeks, and besides, I shot the rabbit you ate last night; OBVIOUSLY it's mine!") to formalism.

When we were planning to fly paying spaceflight participants (not “passengers,” since that term has a specific legal meaning), part of the informed consent process was to videotape them reading the disclosures aloud and answering questions about what they had just read.

14/ The two cruxes of my zoning dispute is that a clause in the zoning ordinance says "...a single family residence". The terms are defined elsewhere in the zoning code. Zoning board wants to disregard that definition and declare that "a residence is ANY structure". Whew lads

17/ In zoning dispute, I told neighbor stakes were in the wrong place. I showed him the zoning code. I offered to pay for logging to take down trees so he could relocate. I offered $6k in cash. I went over to increase cash offer, and was sworn at. OK, lawyer time. Code duello.

I just taught a workshop at a local SF on bad publishing contracts. My example of an evil contract was an extreme rights grab with an indemnity clause that would let them pay off a frivolous lawsuit without consulting the writer . . . and make the writer pay.
