There's really no way to know when a offering is coming.
I have found when a small cap company comes out with really big news and soars. That's when you have to worry because that's when private investors start entertaining offers to the Co at lower than trading price.

What is the best item to look for in a stocks financials yo determine if they might do an offering soon. When I do a swing trade, I worry about an offering the next day.
