$FDS beat the quarter and set a guide 2% above '22 cons. AND showed that they could accelerate ASV growth into '22 which drives future revenue growth, so the move is warranted.

What crocman said, CEO made an offhand comment about not being surprised the deal could get pushed into ‘22. Also they missed on margin and while revs beat, growth was decelerating in every segment aside from CMS while barely growing sequentially. Transportation headwinds too.
