    In the wake of Quadriga, Canadian securities regulators are pushing back against custodial exchanges HARD. Their new guidance holds that custodial coins are potentially derivatives (a right for future BTC, eg), rather than the thing itself.

    Its been a horrible, no good, very bad year for 🇨🇦 exchanges -QuadrigCX $200M bankruptcy; large scale fraud & embezzlement - into receivership; users owed $16M - owes millions; investigated by BCSC Here's a thread on how to protect yourself ⤵️

    No doubt there's Q's & clarifications exchanges will need to work through w/ Regulators from this guidance, particularly wrt interpretations of "immediate delivery" - eg if a user *can* immediately withdraw to a wallet (but chooses not to), why does securities leg apply?

    Securities legislation does NOT apply if: 1) The asset *is not* a security or a derivative, and 2) The platforms provides immediate delivery of crypto - ie, non-custodial exchanges

    Essentially, it looks like any custodial exchange is subject to securities legislation, even if trading in commodities - it's not enough that one's purchase is on the platform's books for the user - if crypto is not delivered "immediately", the platform is subject to leg

    CSA says securities leg APPLIES if: 1) The asset *is* a security or a derivative, or 2) Platform retain ownership, control & possession of crypto (even ) on behalf of user, until user requests it Thus, custodial exchanges will likely need to register w IIROC
