@ Thanks! Attempt # 5 got it. Sequence=build a super basic XP VM, patch to SP2, then install Parallels tools, then SP3.

So far, the Parallels experience is total suckage. Two failed installs... one had XP troubles, the other won't install their tools. Blech.
